Removal of the D Share Class, the E Share Class and the F Share Class and Total Voting Rights

The board of Ingenious Entertainment VCT 2 plc (the "Company") is pleased to announce that further to an order (the "Court Order") of the High Court of Justice of England and Wales made on 18 January 2017 sanctioning the resolutions passed by the Company in general and class meetings held on 8 December 2016 cancelling and extinguishing all of its D ordinary shares of 1p each ("D Shares"), its E ordinary shares of 1p each ("E Shares") and its F ordinary shares of 1p each ("F Shares"), and following the delivery to, and the registration by, the Registrar of Companies of that Court Order on 18 January 2017, the cancellation and extinguishment of those shares became effective on that date.

Following the cancellation and extinguishment of all of the Company's D Shares, E Shares and F Shares, the listing of those shares were removed from the Official List of the UK Listing Authority with effect from 8.00 a.m. on 23 January 2017.

Following the cancellation and extinguishment of the D Shares, E Shares and F Shares, the Company's capital at close of business on 18 January 2017 consisted of 3,518,044 G ordinary shares of 1p each (the "G Shares") and 2,660,842 H ordinary shares of 1p each (the "H Shares") with voting rights. The Company does not hold any G Shares or H Shares in treasury.

The total number of voting rights in the Company is 3,518,044 in respect of holdings of G Shares and 2,660,842 in respect of holdings of H Shares.

Therefore, the total number of voting rights in the Company at close of business on 18 January 2017 is 6,178,886. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
