RECOMMENDED CASH ACQUISITION WITH SHARE ALTERNATIVE (SUBJECT TO SCALE-BACK)

SCHEME EFFECTIVE

The Boards of John Swan and Sons P.L.C. ("John Swan") and H&H Group PLC ("H&H") are pleased to announce that the Court Order has been delivered to the Registrar of Companies and, accordingly, the Scheme has become fully effective in accordance with its terms.

It is anticipated that the admission of John Swan Shares to trading on AIM will be cancelled with effect from 7.00 a.m. on 15 October 2015. Settlement of the Cash Consideration, and despatch of share certificates for New H&H Shares, is expected to take place on or prior to 28 October 2015.

Note that capitalised terms used in this announcement but not defined have the same meaning as in the Scheme Document.
