Share Issue Update Following Warrant Conversions
The Directors of Sirius Minerals Plc (AIM: SXX, OTCQX: SRUXY)
("Sirius" or the "Company") hereby provide an update in respect of
the warrants issued to investors on 14 March 2014, in connection
with the placing by the Company on 6 March 2014.
As per the announcement of 28 May 2015, a block listing
application was made to the London Stock Exchange for the admission
to trading on AIM of up to 179,351,029 ordinary shares in the
Company (the "Block Listing Shares"). The Block Listing Shares are
the total number of shares that could be issued pursuant to the
exercise of warrants issued.
Since the last announcement on 29 June 2015 and during the month
of July, pursuant to the valid exercise of warrants by individual
warrant holders, 45,072,351 Block Listing Shares have been issued
and credited as fully paid, meaning a total of 51,251,083 Block
Listing Shares have been issued to date, providing the Company with
warrant exercise proceeds of approximately GBP9.225m and equating
to approximately 28 per cent of the total warrants. These shares
rank pari passu in all respects with all existing ordinary shares
of the Company.
Accordingly, the Company's enlarged issued share capital now
comprises 2,216,118,264 ordinary shares with voting rights. This
figure of 2,216,118,264 ordinary shares may be used by shareholders
in the Company as the denominator for the calculations by which
they will determine if they are required to notify their interest
in, or a change in their interest in, the share capital of the
Company under the FCA's Disclosure and Transparency Rules.
The remaining 128,099,946 Block Listing Shares will continue to
be issued from time to time pursuant to the exercise of warrants by
individual warrant holders during the relevant exercise period. The
Company will continue to update the total shares on issue on its
website on a regular basis.
