Results of Annual General Meeting and Directorate Change
Urban&Civic plc (the "Company") announces that all
resolutions were passed unanimously by shareholders of the Company
(the "Shareholders") on a show of hands at the Company's Annual
General Meeting held on Thursday 8 February 2018. Proxies were
received by the Company from Shareholders in advance of the Annual
General Meeting are shown below.
As previously announced, Robert Dyson did not seek re-election
as a Non-Executive Director of the Board at the Annual General
Meeting and therefore steps down as a Director with immediate
effect.

As at the date of the meeting there were 144,964,808 ordinary
shares of 20 pence each in issue. Proxies amounting to 123,707,599
votes were received in respect of resolutions 1 to 12 and proxies
amounting to 123,686,727 votes were received in respect of
resolutions 13 to 22 (iv).
(i) Includes votes cast at the discretion of the Chairman
(ii) A vote withheld is not a vote in law and is not counted in
the calculation of votes for or against a resolution
(iii) A Special Resolution requires at least 75% of votes in favour
(iv) Includes 1,480 votes cast by proxy at the discretion of a
