Vocalis Group plc (the "Company") announces that 5.76m  shares
were placed with a number of new institutional investors on 17
March   1998   by   Credit  Lyonnais  Laing,   the   Company's
stockbrokers.

Prelude  Technology Fund II Limited Partnership and Providence
Investment  Company,  who  have been  shareholders  since  the
Company  was  founded  in 1993,  reduced  their  shareholdings
according   to  their  investment  programme.    They   remain
significant  shareholders and  informed the  Company  on  19th
March  1998  that  their  holdings and  holdings  under  their
control were now 4,545,198 shares (14.04% of the issued  share
capital)  and  2,244,982 shares (6.94%  of  the  issued  share
capital) respectively.

Jeremy  Peckham,  who resigned as Chief Executive  Officer  in
September  1997, also sold shares in the placing and  informed
the  Company  on  19th March 1998 that  he  no  longer  has  a
notifiable  interest in the Company.  Similarly  Guido  Crolla
informed the Company on 19th March 1998 that he no longer  has
a notifiable interest in the Company.
