               SALE OF BUSINESSES IN BELGIUIM AND THE NETHERLANDS

Xansa, the international business process and IT services company, is pleased to
announce that it has reached an agreement to sell its businesses in Belgium and
The Netherlands to Ewycksgroep, a private Dutch company, for a nominal
consideration.

It is expected that this transaction will be completed by 19 December 2003.

In making this announcement with Ewycksgroep, Xansa is pleased to ensure
continuity of support for our clients, as well as continuity of employment for
our staff in these countries.
