Retail Properties of America, Inc. will hold its Annual Meeting of Stockholders on
Thursday, May 26, 2016 at 9:00 a.m. Eastern Time at The Westin Buckhead Atlanta, 3391 Peachtree Road, N.E., Atlanta, Georgia, 30326, for the following purposes:
1. To elect as directors the eight nominees identified below, each nominated
by the Board of Directors of the Company, to hold office until the 2017 annual meeting of stockholders and until their successors are elected and qualify:
