                            Director's Shareholding


The Company has today been informed that, in order to assist Mr Smit Berry, non
executive director, in the funding of an acquisition, on 16 May 2003 he sold
21,125,000 ordinary shares in the Company at 0.5p per share. Smit Berry is now
beneficially interested in 7,125,000 ordinary shares representing 1.34% of the
Company's issued share capital.
