Process Capital Corporation (TSX VENTURE:POR) (the "Company") announces that it
will be late in filing its audited annual financial statements, management
discussion and analysis (MD&A), and CEO and CFO confirmations for the year
ending December 31, 2010.


The Company will file an application with the pertinent securities regulators
under National Policy 12-203 ("NP-12-203") requesting that a management cease
trade order ('MCTO") be imposed in respect of this filing rather than an issuer
cease-trade order. There is no assurance that an MCTO will be granted.


MSCM LLP, the Company's newly appointed auditors for 2010 require additional
time to complete their audit. The Company intends to file its annual audited
financial statements, together with all other documents by May 16th, 2011.


The Company confirms that it will satisfy the provisions of the alternative
information guidelines under NP 12-203 by issuing bi-weekly default status
reports, if necessary, in the form of news releases as long as it remains in
default of the filing requirements. The Company confirms that there is no other
material information relating to its affairs that has not been generally
disclosed.
