Compulsory Partial Redemption of Shares and Total Voting
Rights
Further to the announcement on 21
November 2024, the Company announces that it has compulsorily
redeemed 68,004,479 ordinary shares ("Shares") at a rate of €0.8970 per Share
on 02 December 2024 for cancellation.
On this basis, a holder of 10,000
Shares has had 1,627 Shares redeemed and will receive €1,459.41 in
cash. A total of 16.2706% of the Company's issued share capital has
been redeemed.
The new ISIN number JE00BM8J7D47 in
respect of the Shares that have not been redeemed has been enabled
with effect from today.
In conformity with the FCA's
Disclosure Guidance and Transparency Rules, following the
Compulsory Partial Redemption of Shares, the Company notifies that
the Company's issued share capital consists of 349,955,289 Shares
of no par value.
Each Share carries the right to 1
vote, therefore, the total number of voting rights in the Company
is 349,955,289. The Company holds no Shares in treasury. The above
figure (349,955,289) may be used by shareholders as the denominator
for the calculations by which they will determine if they are
required to notify their interest in or a change to their interest
in the Company under the FCA's Disclosure Guidance and Transparency
Rules.
It is expected that the proceeds of
the redemption will be paid through CREST to holders of Shares in
uncertificated form, and paid by cheque to holders of Shares in
certificated form, by 19 December 2024. Holders of Shares in
certificated form and electing to receive payment in GBP will be
paid as soon as practicable after 19 December 2024.

defined in this announcement will have the same meaning as set out
in the Circular dated 25 August 2023.
