Results of EGM

Following the Extraordinary General Meeting which was held on Friday 30 January
2015, we are pleased to announce that special resolution 1 as put to
shareholders was passed:

(Res. 1). That:

(a) the Company be wound up voluntarily pursuant to section Chapter 2 of Part
21 of the Companies (Jersey) Law, 1991, as amended, and that James Eldridge and
Andrew Dann of Ernst & Young LLP be and hereby are appointed as liquidators
("Liquidators") for the purposes of such winding-up including realising and
distributing the Company's assets and any power conferred on them by law or by
this Resolution may be exercised by them jointly or by either of them alone;

(b) the remuneration of the Liquidators be determined by reference to the time
properly given by them and their staff in attending to matters prior to and
during the winding-up and they be and hereby are authorised to draw such
remuneration as they may determine and to pay any expenses properly incurred by
them, subject always to any prior agreement or quotation made between the
Company and the Liquidators;

(c) the Company's books and records be held by the Company's secretary to the
order of the Liquidators until the expiry of a minimum of six years after the
dissolution of the Company;

(d) notwithstanding any provisions of the Company's articles of association and
subject to any regulatory requirements, the Shareholders resolve that an audit
of the Company's accounts is not required for any period after 1 January 2015;
and

(e) the Liquidators may, where they deem it necessary, authorise Frank Le
Feuvre and Angus Spencer-Nairn to exercise any of their powers as directors in
relation to the Company during the summary winding-up.

Save where the context requires otherwise, the definitions contained in the
Circular shall have the same meanings where used in this Resolution.

In accordance with listing rule 9.6.2R copies of the special resolution have been
submitted to the National Storage Mechanism and will shortly be available for
inspection at http://www.hemscott.com/nsm.do.

The minimum number of proxy votes received in favour of the resolution was 100%.
