At the General Meeting of the Company held earlier today, the special resolution was duly passed. As such the Company will be proceeding with the proposed share capital reduction and cancellation of its share premium account, as detailed in the announcement of 1 March 2024.

THAT, subject to an appropriate Order of His Majesty's High Court of Justice in England:

 

(a)       the share premium account of the Company be cancelled; and

(b)       the issued share capital be reduced by cancelling paid up capital to the extent of £0.097 on each issued ordinary share of £0.10 each thereby reducing the nominal value of each such share to £0.003 each.
