Directors Interests

Energy XXI announces that the Company has issued a total of 30,126 shares of US$0.005 common stock ("Shares") to its independent Board of Directors on 6 November 2012, pursuant to its independent director remuneration scheme, for the stock portion of their annual retainer which vests on the 2013 Annual General Meeting date, (each with less than 1% ownership) as set out below:

Following these transactions, the Company has a total of 79,326,227 Shares in issue, excluding 663 treasury shares. The total number of voting rights in the Company is therefore 79,326,227. The Company has made application for the 30,126 Directors shares to be admitted to trading on AIM, which is expected on 14 November 2012.
