                            Changes in directorships


Healthcare Enterprise Group PLC ("HCEG") announces the resignation today of
Anthony Moore as a non-executive director of both HCEG and of HCEG's subsidiary,
Healthcare Enterprise Group, Inc. ("HCEGI") and the appointment of Kenneth
Denos, General Counsel to HCEG, as an executive director of HCEG.

Messrs. Moore and Denos are both directors of Moore, Clayton & Co., Inc. 
("MCC"), a global strategic and financial advisory services firm headquartered 
in the United States.  MCC was a founding shareholder of HCEGI, which was 
acquired by HCEG in March 2003.  Mr. Moore's resignation and Mr. Denos' 
appointment are part of a transition of Mr. Moore's increased duties within MCC 
as its Co-Chairman and CEO.

Kenneth Ian Denos, aged 35, is a practising lawyer and has served as General
Counsel to HCEG since the acquisition of HCEGI and as General Counsel of HCEGI
since its inception.  Mr. Denos' practice areas have included public and private
corporate finance, mergers and acquisitions, licensing and joint venture
agreements, and technology commercialisation.  He joins the HCEG Board with a
background which includes executive level experience in venture capital and
emerging growth companies in the UK and the US.  Mr. Denos is also a member of
the Board of Directors of Morphogenesis, Inc., a US-based biotechnology firm.

Directorships of Kenneth Denos currently held and held during the five years
preceding the date of this announcement are set out at the end of this
announcement.

Mr. Denos holds options to subscribe for 8,493,448 ordinary shares of 0.1p each
in HCEG ("Ordinary Shares") and options to acquire a further 8,493,448 Ordinary
Shares from LPMCC, LLC, a principal shareholder in HCEG.   HCEG has also been
informed by Mr. Denos that he holds a membership interest of approximately 3.5
per cent. in LPMCC.

There are no further disclosures to be made in accordance with Rule 15 and
schedule 2(f) of the AIM Rules in connection with Kenneth Denos.
