Issue of Offer Ordinary Shares

Further to the announcement of the Company dated 7 July 2017 and the publication of the prospectus setting out details of, inter alia, the offer for subscription, the Company is pleased to announce that it has today allotted 11,764,706 Offer Ordinary Shares of nominal value GBP0.02 in the capital of the Company at a price of GBP0.17 per share ("Share Allotment") in exchange for subscriptions equal to GBP2,000,000 to GFG Property Fund Limited ("GFG"). Nicholas Hofgren is a director of both the Company and GFG. Following this Share Allotment, GFG will hold 42,857,511 shares which is 23.5% of the enlarged total issued share capital of the Company.

The Company's total issued share capital as of the date of this announcement is 170,491,541 with a nominal value of GBP0.02 each. The Company does not hold any shares in Treasury. Therefore, the total number of voting rights in the Company is 170,491,541. Following the Share Allotment, the issued share capital will be 182,256,247 shares.

Application will be made for the Offer Ordinary Shares to be admitted to the standard segment of the Official List and to trading on the London Stock Exchange's main market for listed securities. It is expected that admission will become effective and that unconditional dealings will commence on the London Stock Exchange within five business days of date of allotment.
