Item 1.02. Termination of a Material Definitive Agreement.

 

As previously disclosed, on September 29, 2022, Athena Consumer Acquisition Corp., a Delaware corporation (“Athena”), Next.e.GO Mobile SE, a German company, Next.e.GO B.V., a Dutch private limited liability company and a wholly-owned subsidiary of e.GO, and Vellar Opportunity Fund SPV LLC – Series 3 entered into an agreement (the “Forward Purchase Agreement”) for an OTC Equity Prepaid Forward Transaction. Such Forward Purchase Agreement was filed as Exhibit 10.1 to Athena’s Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission on October 5, 2022.

 

On March 3, 2023, the Forward Purchase Agreement was terminated.
