The sale transaction reported herein represents shares sold to cover tax withholding obligations associated with the accelerated vesting of certain RSUs and PSUs to mitigate adverse tax consequences of Section 280G and Section 4999 of the Internal Revenue Code of 1986 (as amended) that could arise in connection with the anticipated transactions under the Issuer's Agreement and Plan of Merger dated November 6, 2024.
