National Energy Services Reunited
Corp.’s (the “Company”) Form 20-F for the year ended December 31, 2021, cannot be filed by the prescribed
due date without unreasonable effort and expense because the Company requires additional time to complete
the previously announced restatement of the Company’s consolidated financial statements for the fiscal years ended
December 31, 2018, 2019 and 2020.

On March 10, 2022, subsequent
to the company-wide adoption of a new SAP ERP system and the ensuing ongoing reconciliation process, the management of the
Company concluded and recommended to the Audit Committee of the Company’s Board of Directors, and the Audit Committee agreed,
that the Company’s consolidated U.S. GAAP financial information and related disclosures (“SEC Filings”) for the fiscal
years ended December 31, 2018, 2019 and 2020 filed with the United States Securities and Exchange Commission (the “SEC”),
contain errors primarily related to accounts payable reconciliations and accrued liabilities.
The
Company expects that the errors related to the accounts payable reconciliations and accrued liabilities and other financial information
will significantly impact the financial statements. Based on a preliminary analysis, the Company currently expects that the aggregate
amount of the restatement, for all of the impacted and potentially impacted time periods, will be in the range of $60 to $90 million.
