Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 31, 2024, Todd Dissinger retired as Chief Financial Officer of Natural Grocers by Vitamin Cottage, Inc. (the “Company”). As previously announced, Richard Hallé assumed the position of Chief Financial Officer of the Company effective January 1, 2025.
