decision to proceed with a feasibility study or certain other events. Each 
Class A unit comprising one common share and one half of one Class A share

until June 9, 2014 to acquire an additional common share at $1.07 per 
share.

A Series B special warrant can be issued at closing which is automatically 
exercisable to acquire 5 million Class B units upon a positive production 
decision or certain other events. Each Series B unit comprising one common 
share and one half of one Class B share purchase warrant, each whole Class 
B share purchase warrant exercisable until June 9, 2014 to acquire an 
additional common share $1.07 per share.

The possible creation of a new control position as a result of this 
transaction was approved by shareholders at the Company's June 4, 2009 
annual general meeting.
