NOTICE is hereby given of a transaction (the "Transaction")
involving the following:
(i) the Issuer's authorisation (as sole noteholder of the APC
Loan Notes) to APC and the APC Security Trustee to enter into the
Amendment Deed (as defined below) and give effect to the
Transaction;
(ii) Eurobank EFG Private Bank (Luxembourg) S.A.'s authorisation
by written resolution (as sole noteholder of the Notes) to the
Issuer to, in turn, authorise APC and the APC Security Trustee to
enter into the Amendment Deed and give effect to the
Transaction;
(iii) the entry into an amendment deed (the "Amendment Deed") by
the APC the APC Account Bank, the APC Subordinated Loan Provider
and the APC Security Trustee dated 26 November 2007, which
Amendment Deed permits the APC to draw an amount of
EUR300,125,329.17 under the subordinated loan, as documented in the
APC Subordinated Loan Agreement;
(iv) the use by the APC of the proceeds from the drawing under
the subordinated loan to redeem on 30 November 2010:
(a) EUR190,500,000 in aggregate principal amount of the
outstanding Class A APC Loan Note together with the accrued
interest in the amount of EUR89,048.17 (the "Class A APC Redemption
Amount"); and
(b) EUR109,500,000 in aggregate principal amount of the
outstanding Class B APC Loan Note together with the accrued
interest in the amount of EUR36,281.00 (the "Class B APC Redemption
Amount" and, together with the Class A APC Redemption Amount, the
"APC Redemption Amount"); and
(v) the use by the Issuer of the APC Redemption Amount to redeem
on 30 November 2010:
(a) EUR190,500,000 in aggregate principal amount of the
outstanding Class A Notes together with the accrued interest in the
amount of EUR89 048.17; and
(b) EUR109,500,000 in aggregate principal amount of the
outstanding Class B Notes together with the accrued interest in the
amount of EUR36 281.00.
Unless otherwise defined herein, words and expressions used in
this notice shall have the meanings and constructions ascribed to
them in:
(a) the master definitions schedule set out in paragraph 1
(Definitions) of Schedule 1 (Master Definitions Schedule) to the
APC master framework agreement (the "APC Master Framework
Agreement") dated 26 November 2007 and signed by, inter alios,
Daneion APC Limited (the "APC") and EFG Eurobank Ergasias S.A.
("Eurobank EFG"); and
(b) the master definitions schedule set out in paragraph 1
(Definitions) of Schedule 1 (Master Definitions Schedule) to the
issuer master framework agreement (the "Issuer Master Framework
Agreement") dated 26 November 2007 and signed by, inter alios, the
APC, Eurobank EFG, and the Issuer.
We hereby give you notice of the relevant parties having entered
into documentation (the "Documents") on 30 November 2010 to give
effect to the Transaction.
Copies of each of the Documents, including the Amendment Deed,
are available on request to the Issuer or the Principal Paying
Agent at the address set out at the end of this Notice.
Copies of this Notice and the Documents and any related
documents will not be mailed or otherwise distributed or sent in or
into the United States, including to any Noteholder with addresses
in the United States. Any U.S. person receiving such documents
(including, without limitation, custodians, nominees and trustees)
must not distribute or send them in, into or from the United
States.
