EXTRAORDINARY GENERAL MEETING - 25 MARCH 1998


BTR plc announces that following the Extraordinary General Meeting held this
morning, the resolution to approve the proposed divestment of the Packaging
businesses to Owens-Illinois Inc was duly passed by shareholders.  Subject to
relevant regulatory  approvals in the US, Australia and the European Union,
completion is expected at the end of April 1998.
