The board of First Artist Corporation PLC ("First Artist") announced proposals
earlier today for the proposed acquisition of Dewynters Plc, a Capital
Reduction, a Share Consolidation and Placing of New Shares for cash, the
establishment of a savings related share incentive scheme and an alteration to
the Articles of Association.
A circular has now been posted to First Artist shareholders, with an Admission
Document and the statutory accounts of First Artist for the 10 months ended 31
August 2006. Copies of the circular, Admission Document and statutory accounts
are available online at http://www.firstartist.com/investors/reports.asp
The Extraordinary General Meeting to approve the accounts and the proposals
referred to above has been convened for 10 am on 22 December 2006.
At the request of the Company, London Stock Exchange plc has agreed to suspend
dealings on 27 December 2006 if the relevant resolutions are approved at the
Extraordinary General Meeting.
The consolidation of the share capital whereby one New Ordinary Share is issued
to replace every 10 Existing Ordinary Shares is expected to be effective on 27
December 2006 and Admission of the New Ordinary Shares to trading on AIM is
expected on 28 December 2006.
