                            Director's Shareholding


Griffin Group was informed on 2 June 2004 that on that date Global Investments
Limited ("Global") acquired 400,000 Ordinary Shares for 5.3p each. Global now
holds 5,400,000 Ordinary Shares, representing approximately 13.6% of the
Company's issued ordinary share capital. Global is the trustee of a trust in
which Stephen Dean, the Chairman of the Company, has a discretionary interest.
