Hodder Headline plc ("the Company")

The Company was informed on 24th July 1997 that on 23rd July 1997
dealings in ordinary shares in Hodder Headline were made on
behalf of Mr. Richard Stileman, an executive director.  6,446
shares were sold at a price of 186.5 pence per share and  6,370
shares were purchased at a price of 187 pence per share. These
dealings were in respect of Personal Equity Plans for the
beneficial interest of Mr. Stileman and his spouse. Following
these dealings, the interest of Mr. Richard Stileman in the
Company's shares is 35,111 ordinary shares, representing 0.1%
of the current issued ordinary share capital.
