Transaction in own shares

Tiso Blackstar shareholders are advised that on 12 April 2018 the Company purchased 5,785 Tiso Blackstar ordinary shares of EUR0.76 each (the "Shares") at an average price of R4.70 (GBP0.28) per share. The purchased Shares are expected to be held in treasury in accordance with applicable law. The number of Shares purchased represents 0.0021% of the total shares in issue.

The Company has a total of 272,307,233 ordinary shares in issue, of which 472,830 are non-voting treasury shares and 6,887,236 are held under the Management Incentive Scheme ("MIS"). The shares held by the MIS are disclosed as treasury shares for accounting purposes, however they have been committed to meeting the Company's obligations to participants under the MIS and the participants have the right to vote the shares. Based on this accounting basis, there are a total of 7,360,066 treasury shares.

The total number of voting rights in the Company is therefore 271,834,403 ("Voting Rights Figure"). The Voting Rights Figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their voting rights interest, or a change to that interest, in the Company under the FCA's Disclosure and Transparency Rules.

Tiso Blackstar confirms that, following the awards above, the Concert Party, as defined in the circular posted to shareholders dated 26 May 2017, now holds 34,1282% of the Company's total voting rights.
