Eaton Vance California Municipal Bond Fund (NYSE American: EVM)
and Eaton Vance New York Municipal Bond Fund (NYSE American: ENX)
(each a “Fund” and, together, the “Funds”) announced the results of
each Fund’s Annual Meeting of Shareholders (together, the “Annual
Meeting”), which was convened on September 9, 2024 and adjourned to
September 30, 2024, for the election of three members of the Fund’s
board of trustees to serve three-year terms ending in 2027. In
light of the NYSE American LLC annual meeting requirements, the
Annual Meeting could not be adjourned past September 30, 2024, the
last day of each Fund’s fiscal year ended September 30, 2024. With
respect to EVM, a quorum was not present at the Annual Meeting. Due
to the lack of quorum, no action was taken with respect to the
trustee elections. Pursuant to EVM’s Amended and Restated By-Laws,
the trustees whose terms are expiring at the time of the Annual
Meeting will continue to serve as trustees as members of their
respective class of trustees, holding office until the annual
meeting held in the third succeeding year following the Annual
Meeting. As such, the current Class I Trustees of EVM, Mark R.
Fetting, Valerie A. Mosley and Keith Quinton, will continue to
serve as Class I Trustees of EVM. With respect to ENX, a quorum was
present at the Annual Meeting, but none of the candidates presented
for election by the Fund's common shareholders received the
requisite vote at the Annual Meeting. Pursuant to ENX’s Amended and
Restated By-Laws, when none of the candidates presented receive the
requisite vote, the trustees whose terms are expiring at the time
of the Annual Meeting will continue to serve as trustees as members
of their respective class of trustees, holding office until the
annual meeting held in the third succeeding year following the
Annual Meeting. As such, the current Class I Trustees of the Fund,
Mark R. Fetting, Valerie A. Mosley and Keith Quinton, will continue
to serve as Class I Trustees of ENX.
About the Funds (EVM and ENX)
Except for sales of shares pursuant to a tender offer, common
shares of each of the Funds are available for purchase or sale only
through secondary market trading at their current market price.
Shares of closed-end funds often trade at a discount from their net
asset value. The market price of each Fund’s shares may vary from
net asset value based on factors affecting the supply and demand
for shares, such as Fund distribution rates relative to similar
investments, investors’ expectations for future distribution
changes, the clarity of each Fund’s investment strategy and future
return expectations, and investors’ confidence in the underlying
markets in which each Fund invests. Fund shares are subject to
investment risk, including possible loss of principal invested. The
Funds are not a complete investment program, and you may lose money
investing in the Funds. An investment in the Funds may not be
appropriate for all investors. Before investing, prospective
investors should carefully consider each Fund’s investment
objective, strategies, risks, charges, and expenses.
