                         DIRECTOR'S SHARE TRANSACTION



Kier Group plc announces that on 21 December 2003 Mr R W Side transferred to a
family trust 3,781 shares in the Company that had been vested in him on 1
October 2003 in satisfaction of a conditional award made under the Kier Group
1999 Long-Term Incentive Plan. The transfer results in a change in Mr Side's
beneficial holding in the Company. His total interest remains unchanged at
156,667 shares (0.44% of the issued share capital).
