Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2025, Busy Burr notified the Board of Directors (the “Board”) of Mr. Cooper Group Inc. (the “Company”) that she has decided to resign from the Board effective immediately. Ms. Burr’s resignation is not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
