Explanation of Responses:
( 1)  The option became exerciseable in four equal installments: 25% on the Transaction Date and an additional 25% on each anniversary of the Transaction Date.
( 2)  The reporting person agreed to the cancellation of outstanding options in exchange for the grant of new options identified in this Table II.
( 3)  The Stock Option vests in four equal annual installments: 25% on each of 2/10/2011, 2/10/2012, 2/10/2013 and 2/10,/2014.
