On October 15, 2019, Betsy J. Bernard,
a director of Principal Financial Group, Inc. (the “Company”), informed the Company of her decision to decline to stand
for re-election at the Company’s next annual meeting of shareholders, scheduled for May 19, 2020. Ms. Bernard’s decision
is not the result of any disagreement with the Company on any matter relating to its operations, policies or practices.
