Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of September 14, 2020, Michael J. Scott, the former Executive Vice President Operations of SAExploration Holdings, Inc. (the “Company”), voluntary resigned from any and all positions as an employee, officer, manager, director or similar position with the Company and all of its subsidiaries and foreign branches. Mr. Scott will not receive any compensation or other severance benefits in connection with the resignation of his employment.
