WillScot Announces $190 Million Tack-On Offering of Senior Secured Notes

WillScot Corporation (“WillScot”) (Nasdaq: WSC), the specialty
rental services market leader providing innovative modular space
and portable storage solutions across North America, today
announced that its indirect subsidiary, Williams Scotsman
International, Inc. (the “Issuer”), proposes to offer up to $190
million in aggregate principal amount of its 6.875% senior secured
notes due 2023 (the “New Notes”) in a private placement transaction
to qualified institutional buyers in accordance with Rule 144A
under the Securities Act of 1933, as amended (the “Securities Act”)
and to certain investors outside the United States in accordance
with Regulation S under the Securities Act (the “Tack-On
Offering”). The New Notes will be issued as additional securities
under an Indenture, dated August 6, 2018 (as supplemented from time
to time, the “Indenture”), pursuant to which the Issuer issued
$300,000,000 in aggregate principal amount of its 6.875% Senior
Notes due 2023 (the “Existing Notes”) in August 2018. The New Notes
and the Existing Notes are intended to be treated as a single class
of debt securities under the Indenture, and the New Notes will have
identical terms to the Existing Notes, other than with respect to
the issue date and issue price.
WillScot intends to use the net proceeds from the Tack-On
Offering to repay a portion of outstanding borrowings under its
senior secured revolving credit facility, which will be available
to be re-borrowed in the future, subject to certain conditions.

offered or sold in the United States absent registration or an
applicable exemption from registration requirements. This
