Dealer agreement with Mobilicity(TM) to represent and market the full range of
Mobilicity(TM) handheld devices, cellular service and data plans. This also
represents a new marketing channel for Mobilicity(TM) by partnering with a
service provider rather than the traditional kiosk or store front model.

The addition of the Mobilicity(TM) product line to Uniserve's established
internet and telecom solutions platform fills the wireless gap in the Company's
full range of service offerings, and strengthens Uniserve's market position and
objective of providing a 'one stop shop' telecom experience. Furthermore,
Mobilicity(TM) will not only provide the Company with an additional and ongoing
revenue stream, but also open up new marketing and sales opportunities for other
