5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of
Certain Officers.
On February 23, 2022, Novo
Integrated Sciences, Inc. (the “Company”) granted, pursuant to the Company’s 2021 Equity Incentive Plan, a stock
option to purchase 93,955 shares of common stock at an exercise price of $1.33 to each of the Company’s independent directors,
Alex Flesias, Robert Oliva and Michael Pope. Each stock option vests, and becomes exercisable, (i) with respect to 7,833 shares each
month, beginning on the date of grant, until December 23, 2022, and (ii) with respect 7,832 shares on January 23, 2023. Each stock option
expires on February 23, 2027. The stock option grants were previously approved by the Company’s Board of Directors on January
26, 2021 and are consistent with the letter agreements dated January 26, 2021, between the Company and Messrs. Flesias, Oliva and
Pope, as previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on
January 28, 2021.
