Registrant has been unable, without unreasonable effort or expense, to timely compile all information for the disclosures required
to be included in its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2020. The Registrant expects to file
the Quarterly Report no later than the fifth

Registrant anticipates that there will be significant changes in the results of operations from the corresponding period
for the last fiscal year. General and administrative expenses and net (loss) for the fiscal quarter ended June 30, 2020
is anticipated to increase to approximately $19,000 and $(19,000), respectively, as compared with the fiscal quarter ended
June 30, 2019 in which the Registrant reported general and administrative expenses of approximately $4,000 and a net (loss)
of approximately $(4,000). Additionally, total current liabilities for the fiscal quarter ended June 30, 2020 is anticipated
to increase to approximately $52,000 as compared with the fiscal quarter ended June 30, 2019 in which the Registrant reported
total current liabilities of approximately $33,000.
