DISPOSAL OF SERCK HEAT TRANSFER


BTR plc announces the sale of Serck Heat Transfer to an
institutional buyout led by NatWest Ventures for #31.5 million.

Serck Heat Transfer, which operates in the UK and US, designs
and manufactures heat transfer equipment for cooling engines,
transmissions, turbines, processes for power generation,
compressors, marine (including naval), construction equipment
and automotive applications.  In the year to 31 December 1996,
the business generated sales of #22.5 million and the net
assets subject to the transaction are approximately #8.4
million.
