REMOVAL OF C AND D CLASS SHARES AND TOTAL VOTING RIGHTS

The Company is pleased to announce that, further to an order (the "Court Order") of the High Court of Justice of England and Wales made on 22 November 2022 sanctioning the resolutions passed by the Company in general and class meetings held on 4 October 2022, cancelling and extinguishing its C and D Class Shares of 1 penny each, and following delivery to, and the registration by, the Registrar of Companies of the Court Order on 23 November 2022, the cancellation and extinguishment of the C and D Class Shares became effective on 23 November 2022.

Following the cancellation and extinguishment of all the C and D Class Shares, the listing of the C and D Class Shares was removed from the Official List of the Financial Conduct Authority ("FCA") and from trading on the London Stock Exchange, with effect from 8.00 am on 2 December 2022.

Following the cancellation and extinguishment of the C and D Class Shares, the issued share capital and total voting rights of the Company is now 28,940,076 E Class Shares.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

The Company is in the process of despatching cheques or procuring that funds are transferred by BACs transfer to C and D Class Shareholders.
