Explanatory note:

 

The sole purpose of this filing is to delay, until May 10, 2013, the effectiveness of the Registrant’s Post-Effective Amendment No. 5 to its Registration Statement. Post-Effective Amendment No. 5 to the Trust’s Registration Statement relates to the QuantShares U.S. High Dividend Absolute Return Fund, QuantShares U.S. Low Beta Absolute Return Fund, QuantShares U.S. Relative Value Fund, QuantShares U.S. Low Beta Fund, QuantShares U.S. High Quality Fund and QuantShares U.S. High Momentum Fund. Post-Effective Amendment No. 5 was previously delayed in Post-Effective Amendment No. 6 on February 15, 2013 and in Post-Effective Amendment No. 7 on March 14, 2013.
