Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2013, Mr. Nathan Fong notified Motricity, Inc. (the “Company”) that he would resign from his positions as Chief Financial Officer, Chief Operating Officer and Treasurer, effective April 12, 2013. The Company has initiated a search for candidates for the positions of Chief Financial Officer and Chief Operating Officer, but there can be no assurances that efforts to identify and recruit a replacement will be completed by such date.
