ORDINARY SHARES OF 1P EACH

The Company has applied for 74,074,074 Ordinary Shares to be admitted to trading
on AIM. These shares are being issued pursuant to the placing of shares to
Belgravia Group Limited as announced by the Company on 11 September 2003.
Admission is expected to take place on 25 November 2003. As a result of the
placing Belgravia Group Limited will hold 12.7% of the Company's enlarged issued
share capital.
