New World Brands, Inc. (the “Company”) was unable to file its Quarterly Report on Form 10-Q (the “Report”) for the fiscal quarter ended March 31, 2010 by the scheduled filing deadline because the Company requires additional time to complete its compilation and review of its financial statements  for the applicable period. The registrant represents that its Form 10-Q will be filed within the period specified by Rule 12b-25(b).
