The Board of Brierley Investments Limited ("BIL") met with representatives of 
Shamrock on 15 October 1998.

Subsequent to those discussions the BIL Board agreed to hold further
discussions with Shamrock to determine whether a proposal, which is in the best
interests of all shareholders, can be formulated.

Any understandings which may be reached between the BIL Board and Shamrock will
be subject to formal shareholder approval.
