Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On November 3, 2024, Michael W. Sutherlin notified Radius Recycling, Inc. (the “Company”) of his decision to resign from the Company’s Board of Directors (the “Board”) effective as of November 3rd. Mr. Sutherlin was appointed to the Board in 2015. His decision to resign from the Board was based on personal reasons and not related to any disagreement with the Company on any matter relating to its operations, policies or practices. The Board now consists of seven members, the same number it had immediately prior to the appointment of its most recent independent Board member, Mauro Gregorio, who joined the Board effective November 1, 2024.
