Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 25, 2024, Frontier Group Holdings, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) disclosing that, on June 20, 2024, the Board of Directors of the Company (the “Board”) had elected Nancy Lipson to serve as a Class I director of the Company, effective July 1, 2024. At the time of the filing of the Initial 8-K, the Board had not determined Ms. Lipson’s committee assignments.

This Amendment No. 1 to the Initial 8-K is being filed solely to disclose that, on February 6, 2025, the Board appointed Ms. Lipson to its Compensation Committee and Nominating and Corporate Governance Committee, effective immediately. Ms. Lipson is an independent director under the applicable listing rules of the Nasdaq Stock Market LLC.
