                    RESULT OF EXTRAORDINARY GENERAL MEETING


Carclo plc announces that the ordinary resolution to approve the sale of the
Acre Mills site in Huddersfield to The Calderdale and Huddersfield National
Health Service Trust for a total cash consideration of #6.4 million was duly
passed at the extraordinary general meeting held earlier today.

Completion of the sale, under the terms of the sale and purchase agreement, is
due to take place on 3 June 2003.
