pleased to announce the results of its annual and special meeting
of shareholders (the "Meeting") held on Tuesday, June 16, 2020, in Toronto.
A total of 62,096,585 common shares (the "Common
Shares") were represented and all matters presented for
approval at the Meeting have been duly authorized and approved. The
nominees proposed by management were elected by shareholders on a
show of hands. The detailed results of the management proxy votes

warrants issued pursuant to the Company's private placement of
January 16, 2020.

4) Approval of the Stock Option Plan
In accordance with the requirements of the TSX, every three
years after adoption, all unallocated options, rights and other
entitlements under a security-based compensation arrangement which
does not have a fixed maximum number of securities issuable
thereunder, must be approved by the majority of the issuer's
security holders. This approval will be in effect for three years
from the date of the Meeting.
