Bull & Lifshitz, LLP announces an investigation into
possible breaches of fiduciary duty in connection with the proposed
acquisition of ev3 Inc. (NASDAQ: EVVV - News) (referred to as "ev3"
or the “Company”) by Covidien plc (NYSE: COV - News) (referred to
as "Covidien") in a cash transaction with an enterprise value of
approximately $2.6 Billion.
Under the terms of the deal, Covidien will pay $22.50 a share in
cash through a tender offer for ev3's shares, followed by a merger
to acquire any remaining shares. The deal is expected to be closed
by July 31, 2010.
