EXPLANATORY NOTE
The purpose of this Registration Statement on Form S-8 (this “Registration Statement”) is to register an additional 500,000 shares of common stock, par value $0.001 per share (the
“Common Stock”) of FinWise Bancorp (the “Company”), that may be offered pursuant to the FinWise Bancorp 2019 Stock Option Plan, as amended (the “Plan”). An amendment to increase the number of shares of Common Stock authorized to be issued under the
Plan and to change the name of the Plan from the All West Bancorporation 2019 Stock Option Plan to the FinWise Bancorp 2019 Stock Option Plan was approved by the Company’s Board of Directors on April 19, 2022 and by the Company’s shareholders on
June 9, 2022.
