Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers’ Compensatory Arrangements of Certain Officers.

 

Board Resignation

 

On August 16, 2024, Chaitan Khosla resigned as a member of the Board of Directors (the “Board”) of Entero Therapeutics, Inc. (the “Company”), effective immediately.

 

On August 21, 2024, the Board appointed Mr. Timothy Ramdeen to serve as a member of the Audit Committee of the Board, filling the vacancy created by Dr. Khosla’s resignation.

 

Chief Executive Officer Compensation

 

On August 19, 2024, the independent directors of the Board approved the payment of the post-employment medical insurance premiums for James Sapirstein, CEO, for six months while Mr. Sapirstein is serving as Chief Executive Officer. Such premiums are being paid to maintain existing levels of coverage to which Mr. Sapirstein was entitled prior to the termination of his employment agreement on August 2, 2024.
